GENERAL TERMS AND CONDITIONS OF SALES AND SUPPLY OF THE COMPANY EXPRIMIDOR
MIZUMO, S.L.U.
1. Validity and application.
1.1. These General Sales Conditions (hereunder GSC) of the company EXPRIMIDOR
MIZUMO S.L.U. (Hereunder Mizumo) will be applicable to all the orders, estimates or proforma
invoices confirmed by the customer signature.
1.2. The signatures of these GSC imply that the signatories have read, fully understood
and negotiated the terms and conditions included in these GSC between the customer and
Mizumo. Therefore, it implies a total agreement between the Parties.
1.3. These GSC will be applicable in the Member States of the European Union, except
in Spain and in peninsular Portugal and in the non- Member States of the European Union.

2. Products.
2.1. Mizumo assembles and sells the items shown in the current official catalogues,
which are published on their website www.mizumojuicer.com
2.2. Mizumo reserves the right to make any changes to the specifications without prior
notice. Consequently, the customer has to check the specifications which Mizumo publishes in
their catalogues before placing any purchase order.
2.3. Mizumo can modify these GSC at any moment and, for because of this, the
customer has to read, understand and subscribe them before placing a purchase order.

3. Purchase orders.
3.1. Every purchase order has to be place in writing by sending an email to
administracion@exprimidormizumo.com, specifying at least the following details:

 Purchase order.
 Customer tax details (Name or company name, VAT number and registered office
address.)
 Name, surname and Id number of the natural person who places the order, if placed
by an entity with or without legal personality. As well as the title of the representative
(manager, PoA etc.)
 Order date.
 Reference number, configuration and description of the product.
 Number of items.
 Delivery address.

3.2. Special orders or orders including modifications to the price list will have to be
clearly requested when placing the order. If Mizumo accepts the order, you will be notified
about the delivery dates and prices.
3.3. If the delivery address is different from the registered office address, both
addresses should be clearly stated in the order: Delivery address; and Registered office
address.
3.4. Once the order is placed, Mizumo will send an estimate/ proforma with the
conditions of the operation that must be confirmed by payment, or duly signed and stamped
where appropriate.
3.5. All estimates/proformas have a validity period, which will be clearly stated in
them.
3.6. In the event that an order is cancelled for reasons which cannot be attributed to
Mizumo, the customer will have to pay for the processing or collection expenses which may
apply. These expenses will be detailed in the estimate issued by Mizumo.
3.7. The company reserves the right to accept orders from customers who have not
complied with previous contracts.
3.8. The prices included in the price lists do not include the corresponding tax and are
ex-factory, this is, put at the customers disposal at Mizumo HQ.
3.9. Urgent orders will be processed by express delivery at the customer's expense
(customer must agree first.)

4. Prices.
4.1. The ones in effect at order date. Mizumo reserves the right to make any changes
to the prices without prior notice. Therefore, the customer has to check the prices in the
catalogue before placing any order.
4.2. Tax is not included in the prices in the price list.
4.3. The estimates sent to the customers will be valid until the date stated in them.

5. Delivery date.
5.1. Goods will be shipped two days after the confirmation of the order if there is stock
available, or shipped on the agreed date if there is not.
5.2. Items on demand: The delivery date will be confirmed by the sales personnel.
5.3. For advance payments, the shipping time will start on the date the money is
received.

6. Payment terms.

6.1. The payment of any order will be made by bank transfer to the account indicated
by Mizumo in the estimate and prior to the shipment of the goods. Any other payment term
has to be agreed on and accepted by Mizumo.
6.2. Customers have to pay for spare parts or material related to Mizumo products by
bank transfer before the goods are shipped by Mizumo. Any other payment term has to be
agreed on and accepted by Mizumo. Cash on delivery (as long as the courier is contracted by
Mizumo.)
6.3. All the payment facilities or conditions accepted for the customer will be cancelled
if the customer failures to pay an invoice before the due date. In this case, the shipment will be
blocked until the debt is paid off.

7. Warranty.
7.1. Mizumo guarantees that all their products are free of faults for a period of two
calendar year (check specific condition for each model) from the date of purchase. For more
information on the scope of the guarantee and the exclusions, check the conditions in the
Warranty Book.
7.2. The warranty will be valid only with the original invoice and serial number of the
machine. The reparation or replacement of components within the warranty period does not
imply an extension of the warranty period. Original spare parts have a six-month warranty.
7.3. We have a Warranty Order form. The Warranty Form; order has to be fill out in

8. Complaints.
8.1. We have a “Complaint and Suggestion” form which you can fill in and send to us
by e-mail: info@mizumojuicer.com. Mizumo analyses these forms and takes the necessary
actions.
8.2. For complaints about orders, related to delivery, the customer has the obligation
to check the state of the goods when they receive them. In case of shipping faults, the
customer should make the corresponding complaint, indicating on the delivery note of the
transportation agency the appropriate details according to the fault detected (dent in a
machine, machine damaged, defective packaging etc.) The incident should be notified to
Mizumo by e-mail (info@mizumojuicer.com) attaching a copy of the delivery note and within
24 hours after the reception of the goods. We understand the order has be accepted after 24
hours after the reception of the goods.

9. Returns.

9.1. All product returns have to be notified to Mizumo by e-mail
(info@mizumojuicer.com) to proceed to its analysis and later authorisation, within a maximum
period of 15 days.
9.2. If the return is accepted:

 The product has to arrive at Mizumo within seven calendar days in perfect condition,
with the original packaging and dully documented, indicating why it is returned and
the person in Mizumo authorising the return.
 The refund of the goods will be subject to the assessment determined by the
inspection carried out at reception.
 If the causes cannot be attributed to Mizumo, the costs of delivery, processing and
inspection, as well as of the packaging will be charged to the customer.
 When the causes of the return can be attributed to Mizumo, the return will be carried
out by a transportation agency authorised by Mizumo.

10. Security.
10.1. Mizumo guarantees that their products and the procedures carried out in their
manufacturing comply with the current legislation detailed in the User Manual and the current
official catalogues.
10.2. Any change to the specifications of the product made by the customer will be
under their own responsibility.

11. Data protection.
11.1. You are hereby informed that, the personal data collected by EXPRIMIDOR
MIZUMO S.L.U will be processed in accordance with the data protection regulations, in order
to manage the contractual relationship and the legal obligations derived from it. In the case of
potential customers, their data will be collected in order to provide the required information
about our product offering. The legal basis of the processing lies in the execution of the
contract or for the application at the request of the latter of pre-contractual measures at the
request of the interested party, as well as the fulfilment of legal obligations in the case of the
existence of a contract in which the party is interested. The processing of contact data and,
where appropriate, those related to the function or position held by the natural persons who
provide services in a legal person will be legitimized under the legal basis of article 6.1.f.) of the
GDPR, that is, the interest legitimate of the person in charge of the processing.
11.2. The data may be transferred to the nearest EXPRIMIDOR MIZUMO S.L.U.
distributor for him to be able to respond to the contact request, which is based on the
legitimate interest of the person in charge.

No automated decisions or profiling are foreseen. You can exercise your rights of access,
rectification, deletion, limitation, or opposition in the contact information indicated in C /

you consider that the processing does not comply with the regulations, you may file the
relevant claim with the Control Authority, being in Spain the AEPD.

12. Applicable law and jurisdiction.
12.1. These GSC will be governed by Spanish Law. The Alicante Courts are competent
with express waiver by both parties of other jurisdictions to settle any dispute which may arise
from the interpretation or application of these GSC.

13. Use of the brand.
13.1. Mizumo is the rightful owner of all the elements of the commercialisation of their
products and services, above all of the brands, designs and patents related to them, so the use
of any of these in other products or parts, company names, promotional or commercial
material, advertising media, Internet or any other means will require the express written
authorisation by Mizumo.

14. Validity of the price list.
14.1 This price list will come into force on 1 January 2025 and will be valid until 31
December 2025. Mizumo reserves the right to make any changes to the prices without prior
notice.
